This Amending and Carryforward Agreement (the "Agreement") incorporates terms set out in the UBC Master Reseller Agreement, dated March 1, 2024 (available at: ubcmrr.com/legal) and is meant to bind Reseller and its Customers.

WHEREAS, the Reseller has purchased UBC and wishes to resell UBC to its customers using terms and conditions set out in the UBC Master Reseller Agreement.

NOW, THEREFORE:

1. All references set out in the UBC Master Reseller Agreement to the UBC JV and/or to 12316421 CANADA INC. and/or to 10574104 CANADA INC. are hereby replaced with Reseller; and

2. Reseller hereby amends and agrees to carryforward terms and conditions set out in the UBC Master Reseller Agreement in respect of its contractual relationship with its Customers.

1. Introduction

This agreement is between the buyer and [Company Name] (hereafter referred to as "Seller"). This document outlines the terms of your purchase of access to UBC’s training through Seller and clarifies Seller's role in the transaction. By purchasing UBC through Seller, you agree to the terms outlined below.

2. Seller's Role & Responsibilities

Seller is an independent seller facilitating your access to UBC’s training.

Seller is not the creator, provider, or administrator of UBC’s training.

The training is fully delivered and managed by UBC within their membership area.

Seller does not set, enforce, or have any authority over UBC’s pricing structure, resale policies, or terms of use.

3. UBC’s Policies & Resale Conditions

UBC is a Canadian company and may have its own policies related to resale, including pricing structures.

If you choose to resell UBC, you do so at your own discretion and are responsible for reviewing and complying with UBC’s terms.

Seller does not enforce or control UBC’s pricing, including any suggested resale prices.

Any questions regarding resale conditions should be directed to UBC directly. UBC’s terms and conditions for resellers can be found here: UBC Reseller Agreement.

The pricing and resale conditions for UBC are governed solely by UBC’s terms and agreements with its resellers. Seller has no role in setting or enforcing resale prices and bears no responsibility for any agreements made between the buyer and UBC regarding resale.

4. No Refund Policy

All sales are final. There are no refunds.

Once you have purchased access to UBC’s training, you cannot request a refund from Seller or UBC.

While all sales are final, in accordance with the Consumer Rights Act 2015, access to the digital product is typically granted within 2-4 hours but may take up to 24 hours. As such, no refunds will be issued. If there is an issue with accessing the product, support will be provided to resolve the matter.

5. No Partnership or Agency Relationship

This purchase does not establish a partnership, agency relationship, or distributorship between you, Seller, or UBC.

Seller does not represent UBC in any legal or business capacity beyond facilitating the purchase of access to their training.

Seller makes no guarantees regarding your ability to resell UBC or generate income from any resale.

6. Limitation of Liability

Seller is not responsible for any changes UBC makes to their pricing, policies, or training content.

You are solely responsible for understanding and complying with UBC’s terms if you choose to engage in reselling.

Seller is not liable for any claims, losses, or damages arising from your purchase or resale of UBC training.

Success in using UBC’s training depends solely on the buyer’s efforts, commitment, and application of the material provided. Seller makes no guarantees regarding financial success, earnings potential, or business outcomes as a result of purchasing UBC training.

7. Data Protection & Privacy

Seller does not collect, store, or process any personal data related to your purchase.

Any data collected during the purchase process is handled directly by UBC or the payment processor in accordance with their respective privacy policies.

8. Dispute Resolution

In the event of a dispute between the Buyer and Seller, both parties agree to first attempt to resolve the dispute through good-faith negotiations.

If the dispute cannot be resolved amicably, either party may initiate formal proceedings in accordance with the governing law stated in this agreement.

Disputes related to UBC’s training, pricing, or resale conditions must be directed to UBC, as Seller has no authority over their policies.

9. Governing Law

This agreement is governed by the laws of England.

Any legal disputes related to this agreement shall be resolved under English law.

Seller bears no responsibility for UBC’s policies, which are governed by their own jurisdiction.

10. Acknowledgment & Agreement

By purchasing UBC training through Seller, you acknowledge that:

You are only purchasing access to UBC’s training.

Seller is not responsible for UBC’s pricing policies or resale conditions.

You will directly engage with UBC for any resale-related questions or agreements.

You fully understand that resale conditions, if any, are between you and UBC.

You acknowledge that all sales are final and that no refunds will be issued under any circumstances.

You acknowledge and agree that you waive your right to cancel and request a refund once access to the product has been granted.

You understand that success in using UBC’s training depends on your own efforts and application of the material provided, and Seller is not liable for your success or lack thereof.
